Jonathan Booton

Jonathan is an Associate specialising in a broad range of corporate, commercial and intellectual property work, both transactional and advisory, acting for a range of clients including private limited companies and owner managed businesses of various sizes.

Jonathan undertakes a diverse practice of corporate work for clients including; acquisitions and sales of businesses, drafting and advising on shareholder agreements, partnership agreements (including LLP agreement), corporate governance, company formations and administration, company re-organisations, facility agreements, debentures and personal guarantees.

Jonathan’s commercial experience mainly consists of assisting clients with: commercial contracts, e-commerce and websites, standard terms/conditions of business (both business to business and business to consumer), outsourcing agreements, data protection, privacy and cookie policies, non-disclosure agreements, software development agreements and IP licensing agreements.

Although Jonathan’s work is largely focused on corporate/commercial matters, he does also advise clients on ancillary issues to their business such as; intellectual property licences; trade mark and design registration; EMI options, settlement agreements, employment contracts, service contracts, consultancy agreements, staff handbooks and confidentiality agreements.

Jonathan also has experience with contentious matters in connection with shareholder disputes and intellectual property disputes (particularly copyright, trade marks and passing off, and the misuse of confidential information).
